1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and the makers of Silo ("Company," "we," "us," or "our").

By visiting our website, creating an account, acquiring a license key, or installing and running the Silo desktop application on macOS, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using the website and uninstall the software.

2. License Grants & Software Editions

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and execute Silo on Apple macOS devices that you own or control:

A. Free Starter Edition

• Permits personal, academic, or commercial evaluation of core features.
• Includes Disk Storage Analyzer, Large Files Finder, Port Manager, and Basic Hardware Monitoring.
• Provided free of charge without time expiration.

B. Pro Edition (Annual Subscription)

• Licensed for use on one (1) Mac workstation per active subscription.
• Unlocks all advanced developer toolchains (Xcode build caches, Docker VM reclaim, Simulator purges, Ollama model managers, Git Safety cleanups).
• Requires an active subscription. Renews automatically every 12 months unless cancelled prior to renewal in your Customer Portal.

C. Perpetual Lifetime Edition

• Licensed for use on one (1) Mac workstation with a single one-time purchase.
• Unlocks all current Pro features, permanent entitlement with no recurring fees, and standard software updates.

D. Founder Edition

• Strictly capped edition offering two (2) Mac workstation seats with a single one-time payment.
• Includes a commemorative numbered Founder badge rendered inside the application, private experimental feature build access, and lifetime priority updates.

3. Permitted Use & License Restrictions

You agree to use Silo strictly in compliance with applicable local and international laws. You agree NOT to:

• Decompile, disassemble, reverse engineer, decrypt, or attempt to derive the source code of the application (except to the extent permitted by applicable open-source component licenses);
• Bypass, disable, circumvent, or forge cryptographic license checks, Ed25519 signature validations, or seat limit controls;
• Redistribute, sublicense, lease, sell, or publicly share commercial license keys or activation credentials on public forums, repositories, or key-sharing networks;
• Use the software to conduct malicious activities, unauthorized network penetrations, or automated denial of service;
• Modify or remove any proprietary notices, trademarks, or copyright labels embedded in the software.

4. System Cleaning, File Deletions, and Safety Warnings

Silo provides advanced, high-performance APFS file system inspection and cleanup capabilities. While the software contains rigorous safeguards:

• Git Safety Engine: Prevents deletion of modified repositories, uncommitted worktrees, and active stashes;
• System Process Guards: Disallows terminating macOS root processes and critical kernel daemons;
• APFS Copy-on-Write Deduplication: Prioritizes zero-byte cloning over destructive operations;

User Responsibility: All file deletions, cache purges, and port terminations require explicit confirmation or user approval. You acknowledge that file system operations are inherently powerful, and you are solely responsible for maintaining regular Time Machine or cloud backups of your critical data. Under no circumstances will the Company be held liable for accidental data loss resulting from user-confirmed deletions.

5. Billing, Payments, and Merchant of Record

Our order process is conducted by our online Merchant of Record, Paddle.com Inc. ("Paddle"), or through authorized payment processors (Stripe, Razorpay, Cashfree). When purchasing through Paddle:

• Paddle acts as the Merchant of Record for all orders, handling billing, localized taxation (VAT / Sales Tax), and invoice issuance.
• Paddle's Terms of Service and Privacy Policy apply in conjunction with these Terms during the checkout transaction.
• You authorize the charging of the selected payment method for the indicated purchase price, including any applicable local sales taxes.

6. 14-Day 100% Money-Back Guarantee & Refunds

We stand behind the quality and engineering of Silo with an unconditional 14-Day Money-Back Guarantee:

• If you are not completely satisfied with your purchase for any reason within fourteen (14) calendar days of your initial order date, you are entitled to a full 100% refund.
• To request a refund, simply email sparoconnect@gmail.com or use the in-app Help & Feedback window. Please include your order number or purchase email.
• Refunds are initiated within 24 to 48 hours and processed back to your original payment method.
• Upon refund completion, the associated license key is deactivated, and your application gracefully reverts to the Free Starter tier.

7. Subscription Renewal & Cancellation

For annual subscription tiers (Pro Annual):

• Subscriptions automatically renew at the end of each annual billing cycle at the prevailing renewal rate unless cancelled.
• You may cancel automatic renewal at any time with zero penalty through your Customer Portal or by emailing support.
• Upon cancellation of renewal, your license remains fully operational until the expiration of your prepaid billing period.

8. Intellectual Property Rights

The Silo name, logo, iconography, visual design, custom UI components, algorithms, documentation, and website content are the exclusive intellectual property of the Company and protected under international copyright, trademark, and trade secret laws. All rights not expressly granted to you are reserved by the Company.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, BUG-FREE, OR FULLY COMPATIBLE WITH EVERY FUTURE VERSION OF MACOS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We reserve the right to suspend or revoke license keys and terminate access to our Customer Portal without prior notice in the event of:

• Breach of these Terms or unauthorized redistribution of cryptographic keys;
• Payment fraud or fraudulent chargebacks initiated after using the software;
• Abuse or harassment directed at our support engineering staff.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be addressed through good-faith informal negotiations between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

13. Modifications to Terms

We may amend these Terms at any time by publishing updated terms on our website. Continued use of the software or website following any update constitutes your acceptance of the revised Terms.
